Clients may not reproduce, modify, distribute, or create derivative works from our designs without prior written consent. Any unauthorized use of our intellectual property may result in legal action and liability for damages. This includes but is not limited to using our designs for additional projects, locations, or purposes beyond the original scope of work.
Beautiful Social Hub retains the right to use project images, descriptions, and other materials for promotional purposes, including but not limited to our website, marketing materials, portfolio presentations, and industry publications. Clients who wish to restrict such use must notify us in writing prior to project commencement.
All trademarks, service marks, logos, and trade names displayed on our website or in our materials are the property of Beautiful Social Hub or their respective owners. Nothing in these terms grants any license or right to use any such marks without prior written permission.
All fees and payment schedules are established in individual project agreements. Unless otherwise specified, payment terms require an initial deposit upon contract signing, with subsequent payments tied to project milestones or monthly billing cycles as agreed upon.
Invoices are due within thirty days of issuance unless otherwise specified. Late payments may incur interest charges at a rate of one and one-half percent per month or the maximum rate permitted by law, whichever is less. Clients are responsible for all costs of collection, including reasonable attorney fees, should legal action become necessary.
Additional services requested beyond the original scope of work will be billed separately at our standard rates or as mutually agreed upon. Clients will be notified of any additional charges before work commences, except in cases where immediate action is necessary to prevent project delays or address urgent issues.
All fees are quoted in Latvian dollars unless otherwise specified. Clients are responsible for any applicable taxes, duties, or other governmental charges. Prices are subject to change for future projects but will remain fixed for the duration of any signed agreement.
Beautiful Social Hub is committed to protecting the confidentiality of client information. We will not disclose confidential information to third parties without client consent, except as required by law or as necessary to perform our services. This includes information about project details, budgets, timelines, and any proprietary business information shared during our engagement.
Clients acknowledge that we may need to share certain project information with consultants, contractors, regulatory authorities, and other third parties as necessary for project execution. We will require such parties to maintain confidentiality through appropriate agreements and professional obligations.
Our collection, use, and protection of personal data are governed by our Privacy Policy, which is incorporated into these terms by reference. We comply with applicable data protection laws and regulations, including the General Data Protection Regulation (GDPR) and the Latvian Personal Data Processing Law.
Clients are responsible for ensuring that any personal data they provide to us has been collected lawfully and that they have the right to share such information. Clients must also ensure compliance with applicable privacy laws when sharing information about third parties with us.
To the maximum extent permitted by applicable law, Beautiful Social Hub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to our services or these terms.
Our total liability for any claims arising out of or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim. This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, supplier failures, or technical difficulties. In such cases, our performance obligations will be suspended for the duration of the force majeure event.
Clients acknowledge that architectural design involves inherent uncertainties and that actual construction costs, timelines, and outcomes may vary from estimates and projections. We make no guarantees regarding project budgets, schedules, or specific results, and shall not be liable for variations from initial projections.
Beautiful Social Hub warrants that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, we make no other warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Our website and all information, content, materials, and services provided through it are offered on an "as is" and "as available" basis. We do not warrant that our website will be uninterrupted, secure, or error-free, or that any defects will be corrected. We make no warranties regarding the accuracy, reliability, or completeness of any content on our website.
We disclaim all liability for any viruses, malware, or other harmful components that may be transmitted through our website or services. Clients are responsible for implementing appropriate security measures and maintaining backup copies of their data.
Any advice, recommendations, or information provided by Beautiful Social Hub, whether oral or written, does not create any warranty beyond those expressly stated in these terms or in a written project agreement.
Either party may terminate a project agreement upon written notice if the other party materially breaches these terms and fails to cure such breach within thirty days of receiving written notice. Beautiful Social Hub may also terminate immediately if a client fails to make required payments or engages in conduct that we reasonably believe violates applicable laws or regulations.
Upon termination, clients remain obligated to pay for all services rendered through the termination date, plus any costs incurred in winding down the project. Clients must also pay for any work in progress based on the percentage of completion at the time of termination.
If a client wishes to cancel a project, they must provide written notice. Cancellation fees may apply based on the stage of project completion and resources already committed. Initial deposits are generally non-refundable, and clients may be liable for additional costs if cancellation occurs after significant work has been performed.
Upon termination, all intellectual property rights remain with Beautiful Social Hub unless full payment has been received for completed work. Clients may not use any designs, drawings, or other materials created by us unless all outstanding payments have been made in full.
Any disputes arising out of or related to these terms or our services shall first be addressed through good faith negotiations between the parties. If a resolution cannot be reached within thirty days, the parties agree to attempt mediation before pursuing other legal remedies.
If mediation is unsuccessful, any legal action must be brought in the courts located in Riga, Ontario, Latvia. Both parties consent to the exclusive jurisdiction of these courts and waive any objections based on venue or forum non conveniens.
These terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Latvia applicable therein, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
In any legal proceeding, the prevailing party shall be entitled to recover reasonable attorney fees and costs. This provision does not limit either party's right to seek equitable relief, including injunctions, to protect intellectual property rights or confidential information.
Clients agree to indemnify, defend, and hold harmless Beautiful Social Hub and its team from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorney fees, arising out of or related to the client's use of our services, violation of these terms, or infringement of any third-party rights.
This indemnification obligation includes but is not limited to claims arising from construction defects, regulatory violations, personal injury, property damage, or any other issues related to the implementation or use of our designs, provided such claims do not result from our gross negligence or willful misconduct.
Clients must promptly notify us of any claims for which indemnification is sought and cooperate fully in the defense of such claims. We reserve the right to assume control of the defense and settlement of any claim subject to indemnification, at our own expense.
The indemnification obligations set forth in this section shall survive the termination or expiration of any agreement between the parties and shall continue for the maximum period permitted by applicable law.
These terms, together with any written project agreements and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written.
If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Beautiful Social Hub.
Clients may not assign or transfer their rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to any affiliate or in connection with a merger, acquisition, or sale of assets, provided that such assignment does not materially affect the services provided to clients.
These terms do not create any third-party beneficiary rights. The relationship between Beautiful Social Hub and clients is that of independent contractors, and nothing in these terms shall be construed to create a partnership, joint venture, agency, or employment relationship.
